Data Confidentiality and Non-Disclosure Agreement
Terms.
a.) Provider. Traders Point Christian Church’s (hereafter TPCC) desires to grant Worker access to certain Confidential Information for the purposes of performing certain tasks on behalf of TPCC.
b.) Worker. The individual, functioning as a Staff, Volunteer, Elder, Contractor, and other Authorized User, who is completing this form and thereby agreeing to perform certain tasks for TPCC, which require Worker to be granted access to certain Confidential Information.
c.) Authorized User. Any third party, individual, group, or organization that is does not fit into the other categorization herein. Must receive explicit authorization from TPCC IT Director.
d.) Staff. An individual actively and currently employed by TPCC.
e.) Elder. An individual active on the Elder board of TPCC.
f.) Volunteer. An individual working in a defined capacity for TPCC, but not being compensated by TPCC either as a Staff member or Contractor, and working under the supervision of a TPCC Staff member.
g.) Contractor. An individual or organization that is not an employee of TPCC, but working under agreement with TPCC to complete specific project or tasks for compensation, and working under the supervision of a TPCC Staff member.
h.) Attendee. An individual or family that has been present for a TPCC service or event, or that has provided personally identifiable information to TPCC for any purpose.
Purpose. The purpose of this Confidentiality and Non-Disclosure Agreement (Agreement) is to protect the identity and privacy of, and assure safety of, TPCC Attendees, Volunteers, Staff, and other groups or organizations engaged with TPCC. The purpose is further to protect the confidentiality of TPCC the organization and the data used by TPCC in church and related ministry operations. The protection of the individuals and organizations who are or have been part of or involved with TPCC in any capacity is paramount. It is critical that those with access to Confidential Information not expose this Confidential Information, unless done under the strict constraints detailed herein.
Confidential Information. TPCC maintains extensive and sensitive information about or related to current and past Attendees, Volunteers, Staff, and organizations that have some business or affiliation with TPCC. All information, or derivatives of information obtained in the performance of a Worker role at TPCC is considered Confidential information. Confidential Information expressly includes (but is not limited to) information about any combination of: TPCC operations, Staff, Volunteers, Attendees, and associated organizations. Confidential Information expressly includes (but is not limited to) any combination of: files, documents, data, and systems (including but not limited https://www.rock.tpcc.org).
By way of example, Confidential Information includes (but is not limited to) the following:
a.) Personally identifying information about an individual associated to TPCC in any capacity, including but not limited to: name, address or phone number;
b.) Giving/donation information from any source
c.) Attendance information from any source
d.) Engagement information (interactions and involvement with TPCC)
e.) Information relating to the family of an individual associated with TPCC in any capacity;
f.) Information relating to a business associated with TPCC in any capacity;
g.) Any other information that would identify an individual or group having any type of association with TPCC in any capacity.
h.) All communications and the contents thereof between any combination of Workers directly or indirectly related to work for or with TPCC are considered Confidential Information.
Use and Restrictions. By executing this Agreement, the Worker agrees to exercise the highest ethical standards in relation to the use of and interaction with Confidential Information and agrees to strictly abide by all the terms and provisions of this Agreement, including (but not limited to) the following examples:
i.) The Worker shall not discuss with, nor discuss in the presence of, nor disclose to a third party any Confidential Information without TPCC’s expressed written consent to do so, unless so required by law.
j.) Any and all Confidential Information to which the Worker has exposure to or knowledge of or access to must be used for only those purposes expressly designated for the fulfillment of the Worker’s role, and is never to be used by the Worker for any purpose not expressly authorized as a part of the Worker’s function as defined by the job description, contract, or (if functioning as a Volunteer) by the supervising Staff member.
k.) The Worker has a personal duty to maintain confidential integrity of all Confidential Information even when he/she is not actively functioning in the defined Worker role.
l.) The Worker’s failure to abide by the terms of this Confidentiality and Non-Disclosure Agreement may result in the termination of the Worker’s engagement as a Worker with TPCC.
Confidentiality after Separation. Due to the nature of the information to which a Worker is granted access and in the interest of achieving the Purpose stated herein, all terms and provisions of this Agreement shall remain in full force and effect after the Worker is no longer actively engaged as a Worker with TPCC, no matter the circumstances under which the Worker’s engagement has been terminated, and no matter the length of time after which the Worker’s engagement has been terminated.
Indemnification for Actions of Worker. In addition to any other remedies available to the individuals harmed by actions of the Worker in the use of Confidential Information, the Worker shall indemnify TPCC against any losses and liabilities arising out of disclosure of or use of any Confidential Information by the Worker for any use or purpose other than the uses and purposes authorized by this agreement.
